SEC might take action against SAC Capital Advisors

NEW YORK (Reuters) - The government has told hedge fund titan Steven A. Cohen's SAC Capital Advisors that it is likely to face civil charges over alleged insider trading at the $14 billion firm, a source familiar with the matter said on Wednesday.

SAC told investors on a Wednesday conference call that the Securities and Exchange Commission had issued a so-called Wells notice to the firm, according to the source, who listened to the call.

This puts new pressure on Cohen, who is one of the world's biggest and best-known hedge fund managers. For years, his firm has been dogged by allegations that it has relied on insider information to deliver an average annual return of 30 percent since Cohen founded it in 1992.

These kinds of returns have made Cohen, 56, a billionaire many times over and drawn large funds of funds and wealthy individual clients to his firm.

The news of the Wells notice also raises questions about SAC's future and how investors are likely to react.

SAC told investors of the notice one week after the arrest of Mathew Martoma, one of its former portfolio managers.

Authorities charged Martoma with using illegally obtained information from a doctor about poor clinical results at two healthcare companies - Elan Corp Plc and Wyeth, which is now owned by Pfizer Inc - to recommend that SAC eliminate a big position in their stocks. This recommendation kept the firm from incurring millions of dollars in losses, the government said.

Also last week, the SEC filed a civil securities fraud charge against CR Intrinsic, the affiliated fund where Martoma worked.

In seeking disgorgement of $276 million in profits and avoided losses against CR Intrinsic, the SEC did not specifically name SAC Capital in last week's civil complaint.

With the arrest of Martoma, the government has now charged five former SAC employees with insider trading while working for the Stamford, Connecticut-headquartered firm. In addition, several others who once worked for Cohen also have been charged with insider trading while working for other hedge funds.

Cohen, who the source said was on the Wednesday morning conference call, has not been accused of wrongdoing.

While 60 percent of SAC's $14 billion in assets belong to Cohen and his employees, the fund's strong and steady returns have made it popular with outside investors as well. Blackstone Group LP has been a long-term investor.

With so much of the money in SAC coming from wealthy investors, the firm may not suffer from the kind of redemptions that a fund dependent on pension fund money might.

The key will be what Blackstone Group's big fund of funds does, as it once had up to $500 million in SAC and is something of a bellwether in the hedge fund industry. Blackstone's investors include smaller and midsize endowments that might get itchy about SAC's Wells notice and pressure the fund of funds to pull its money from the firm.

A spokesman for Blackstone did not return a call seeking comment.

BEARING ALL LEGAL COSTS

On the conference call, SAC President Tom Conheeney again told investors that the firm would bear all costs of defending itself against any legal action, the source said.

Conheeney also said the SEC had questioned Cohen about this matter earlier this year and that he had been responsive to all of the government's questions.

SAC spokesman Jonathan Gasthalter said last week: "Mr. Cohen and SAC are confident that they have acted appropriately and will continue to cooperate with the government's inquiry."

The FBI has been investigating SAC on and off since 2007.

Despite SAC's outstanding returns, the firm's reputation as a rough-and-tumble trading shop has sometimes prompted advisors to tell clients to get out or steer clear of the hedge fund.

Todd Petzel, chief investment officer of Offit Capital Advisors, said he had never invested with SAC because of a lack of transparency, even though he knows of the firm's "incredibly demanding culture" through interactions with Cohen and former SAC employees.

"SAC will tell you that they have incredibly rigorous compliance process," Petzel said. "I'm sure if this ever comes to court they will demonstrate in court all the training that every one of their portfolio managers goes through."

On the other hand, he said Cohen probably protected himself by distancing himself from day-to-day activities.

The SEC usually issues Wells notices, which are often not made public, to give firms plenty of warning that legal action is coming.

In the last year, hedge fund manager Philip Falcone and his Harbinger Capital Partners said they had received such notices. It is not clear when SAC got its notice.

"Certainly the Wells process and the public disclosure that there is a Wells process with respect to a hedge fund is something that is very challenging for the management of the hedge fund," said Stephen Crimmins, a partner at law firm K&L Gates in Washington.

Cohen and his top-flight legal team will probably work around the clock to try to negotiate a resolution and avoid a civil lawsuit, Crimmins said.

"It's a period of intense activity," he said. "It's a period that usually doesn't last that long, so we should expect some more news from SAC."

The universe may grow like a giant brain, according to a new computer simulation.

The results, published Nov. 16 in the journal Nature's Scientific Reports, suggest that some undiscovered, fundamental laws may govern the growth of systems large and small, from the electrical firing between brain cells and growth of social networks to the expansion of galaxies.

"Natural growth dynamics are the same for different real networks, like the Internet or the brain or social networks," said study co-author Dmitri Krioukov, a physicist at the University of California San Diego.

The new study suggests a single fundamental law of nature may govern these networks, said physicist Kevin Bassler of the University of Houston, who was not involved in the study. [ What's That? Your Physics Questions Answered ]

"At first blush they seem to be quite different systems, the question is, is there some kind of controlling laws can describe them?" he told LiveScience.

By raising this question, "their work really makes a pretty important contribution," he said.

Similar Networks
Past studies showed brain circuits and the Internet look a lot alike. But despite finding this functional similarity, nobody had developed equations to perfectly predict how computer networks, brain circuits or social networks grow over time, Krioukov said.

Using Einstein's equations of relativity, which explain how matter warps the fabric of space-time, physicists can retrace the universe's explosive birth in the Big Bang roughly 14 billion years ago and how it has expanded outward in the eons since.

So Krioukov's team wondered whether the universe's accelerating growth could provide insight into the ways social networks or brain circuits expand.

The team created a computer simulation that broke the early universe into the tiniest possible units ? quanta of space-time more minuscule than subatomic particles. The simulation linked any quanta, or nodes in a massive celestial network, that were causally related. (Nothing travels faster than light, so if a person hits a baseball on Earth, the ripple effects of that event could never reach an alien in a distant galaxy in a reasonable amount of time, meaning those two regions of space-time aren't causally related.)

As the simulation progressed, it added more and more space-time to the history of the universe, and so its "network" connections between matter in galaxies grew as well, Krioukov said.

When the team compared the universe's history with growth of social networks and brain circuits, they found all the networks expanded in similar ways: They balanced links between similar nodes with ones that already had many connections. For instance, a cat lover surfing the Internet may visit mega-sites such as Google or Yahoo, but will also browse cat fancier websites or YouTube kitten videos. In the same way, neighboring brain cells like to connect, but neurons also link to such "Google brain cells" that are hooked up to loads of other brain cells.

The eerie similarity between networks large and small is unlikely to be a coincidence, Krioukov said.

"For a physicist it's an immediate signal that there is some missing understanding of how nature works," Krioukov said.

It's more likely that some unknown law governs the way networks grow and change, from the smallest brain cells to the growth of mega-galaxies, Krioukov said.

"This result suggests that maybe we should start looking for it," Krioukov told LiveScience.

Authenticating Cells Out of Curiosity, Not Fear

Cell lines are standard tools in biomedical research, and yet when it comes to their genetic identity, they are remarkably unstable. That volatility comes with their defining trait?immortality. Over time, cells accumulate mutations that may ultimately change the structure of chromosomes and alter cellular functions.

A number of those genetic changes can be detected with cell line authentication, although despite the authority implied by its name, such testing is not yet performed routinely in many laboratories. In fact, for the better part of the 60 years since its inception, authentication has not featured prominently on scientists? to-do lists. It was even actively dismissed for a time, because the manner in which attention had been called to scientists? mistakes (in many cases committed unknowingly) was perceived as career-threatening.

By the 1960s, it was clear that authentication would be an effective way to catch obvious mix-ups and contamination between cell lines. But it would have been difficult to predict its usefulness for detecting the many diverse genetic variations that bear so critically on cell line identity over time, since those variations were unknown then. And even now, equipped with relatively advanced technologies and with an understanding that genetic variation can be both powerful in effect and subtle in form, they are still able to escape detection.

The elusiveness of variation is a fascinating aspect of cell biology, and its significance is emphasized particularly by the widespread use of immortalized cell lines in laboratory research and by the fact that genetic variation is now a cornerstone of biomedical science. Curiosity about variation in nature is not a new phenomenon, of course. Observations of plants, notably those recorded by Gregor Mendel and Dutch botanist Hugo De Vries in the 19th century, were critical to the realization that genetic variation is the basis for evolution by natural selection. Knowledge of induced mutation, or mutagenesis, introduced in the 1920s with the work of German geneticist Hermann Joseph M?ller, piqued the interest of not only scientists but also writers and the general public, notably in the form of science fiction and comics, which are rife with mutant characters.

Still today it is difficult not to be amazed by genetic variation and mutagenesis. The depth of variation that exists in the human genome, for instance, is astonishing. In 2006 scientists reported that copy number variations, which include relatively large deletions, duplications, and insertions of genetic material that alter the structure of DNA, affect from 6 to 19 percent of any given chromosome in the human genome. Prior to that study, it had been estimated that just 0.1 percent of the human genome was affected by genetic variation, much of which had been attributed to single nucleotide polymorphisms, which alter individual building blocks of DNA (changing an A to a T, for example).

The sheer diversity of variation in humans is illustrated further by cancer. Scientists have identified nearly 225,000 unique variants for this disease alone. Presumably many of those represent acquired mutations, or changes that have occurred as a result of time or exposure to cellular stressors, such as certain chemicals.

Which brings us back to cell lines.

The longer cells are kept in culture, and the more stressors they are exposed to, the more mutations they acquire. Eventually, they gain the mutations they need to make them immortal, giving rise to a cell line. A cell line, then, is an established lineage of continuously dividing cells, one in which the cells have effectively surpassed the Hayflick limit, or the finite number of cell divisions that normally would bring about replicative senescence (a state in which cells are metabolically active but not capable of division).

In the human body, the time that cells require to overcome the Hayflick limit typically comes with aging, which leads to age-related diseases, such as cancer. Most human cell lines used in biomedical research have in fact been developed with cells isolated from patient tumors. Such cells have already acquired immortality-conferring mutations that facilitate cell-line establishment. Non-tumor-derived cells (?normal? cells), on the other hand, may require exposure to a cancer-causing virus or some form of genetic engineering to become immortal. Once immortalized, they are only several steps removed from becoming tumorigenic (capable of forming tumors when injected into animals).

Immortalization is key for enabling researchers to work with fairly homogenous populations of cells, making for more robust experiments and data. But with each passage, in which a subset of cells is transferred to a new plate or flask to encourage the growth of still more cells, other mutations begin to work their way into the genetic material, producing populations of cells with chromosomal abnormalities or other alterations. If passaged excessively, those populations may become dominant, ultimately changing the cell line?s genetic identity. For some cell lines, such as certain lineages of embryonic stem cells, such changes occur relatively rapidly, after a dozen or so passages, which can have implications for their clinical use.

An early advocate of implementing procedures to catch those identity crises before they resulted in the publication of inaccurate data was Walter Nelson-Rees, who specialized in the characterization of cells at the Naval Biosciences Laboratory in California. In the 1960s and ?70s, Nelson-Rees began validating cell lines using karyotype analysis (which had been used in the first authentication studies in the 1950s) combined with the identification of certain cell surface proteins and isoenzymes. He found that many cell lines were contaminated with genetic material from other cells lines and, perhaps most significantly, that some human cell lines had been overtaken by HeLa cells, the first established human line and the most widely distributed.

Many scientists were caught off guard by Nelson-Rees?s findings. His job essentially was to fact-check the genetic profiles of cancer cell lines. But it seems that many of the creators of the lines and other researchers who had used them became aware of their errors only after Nelson-Rees highlighted offending papers in a series of articles published in Science. His approach, while bringing attention to the problem, had a strong isolating effect on scientists, leading to the eventual condemnation of his work as unscientific.

Still, cell lines are not always what researchers think they are. While the most egregious errors?a human cell line that turns out to be hamster?seem to be relatively uncommon, at least 18 percent of cell lines continue to be misidentified. Methods of authentication have advanced significantly, owing mainly to the development of rapid and inexpensive tools for the analysis of very short, repetitive segments of DNA, known as short tandem repeats. So, it would seem that there is no reason not to have cells checked, although arguably authentication is not required for some types of cell research.

The responsibility of knowing when to verify cells, and actually following through on it, rests with scientists, since journals and funding agencies have been reluctant to require it. And maybe that is all right. The greatest motivating factor for authentication should not be fear of not being published or funded. Rather, it should be curiosity, the reason why scientists explore questions about the natural world in the first place.

Wii U Sales: 400,000 New Nintendo Consoles Sold In U.S. In First ...

NEW YORK (AP) ? Nintendo has sold more than 400,000 of its new video game console, the Wii U, in its first week on sale in the U.S., the company said Monday.

The Wii U launched on Nov. 18 in the U.S. at a starting price of $300. Nintendo said the sales figure, based on internal estimates, is through Saturday, or seven days later.

The Wii U is the first major game console to launch in six years. It comes with a new touch-screen controller that promises to change how people play games by offering different people in the same room a different experience, depending on the controller used.

Six years ago, Nintendo Co. sold 475,000 of the original Wii in that console's first seven days in stores, according to data from the NPD Group. The original Wii remains available, and Nintendo said it sold more than 300,000 of them last week, along with roughly 250,000 handheld Nintendo 3DS units and about 275,000 of the Nintendo DS.

At this early stage, demand isn't the only factor dictating how many consoles are sold. Supply is, too. This means it's likely that more people wanted to buy the Wii U in the first week than those who were able to. The original Wii was in short supply more than a year after it went on sale.

As of Monday afternoon, the website of Best Buy Co. was sold out of the Wii U. Video game retailer GameStop Corp. said there was at least a three day wait for a deluxe Wii U, which costs $350, has more memory and comes with a game called "Nintendo Land." GameStop still had the basic, $300 version available.

Wedbush analyst Michael Pachter estimates that Nintendo will ship 1 million to 1.5 million Wii Us in the U.S. through the end of January.
